disclose any actual or perceived conflict of interest to the Provider and BC Housing in advance, and all such disclosure and any prior written approval from BC Housing will be recorded in the minutes of the meetings of the directors and/or the relevant committee of the Provider. [...] This Agreement is to be governed by and construed and enforced in accordance with the laws of the Province of British Columbia, which will be deemed to be the proper law hereof and the courts of British Columbia will have the non-exclusive jurisdiction to determine all claims and disputes arising out of this Agreement and the validity, existence and enforceability hereof. [...] In its review of the proposed operating budget, BC Housing will take into account the operating realities of the Services and the Development, the standards prescribed by this Agreement and the Women’s Transition Housing And Supports Program, and the actual expenses of the Provider on the Services in previous Fiscal Years. [...] Subject to the provisions of this Agreement, BC Housing will pay to the Provider for the provision of the Services, not more than the amount specified in the Agreement Summary, Part 4 of this Agreement. [...] The Provider will appoint an auditor of the Provider who will be in good standing in accordance with the laws of the Province of British Columbia and will not be a member of or related to the Provider.
